Terms & Conditions

Introduction

These Terms and Conditions ("Terms") govern your use of Karo ("Service"), a product created and maintained by Synap-tix Systems Ltd (trading as 'Synaptix') ("us", "we", "our").

Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Service.

If you, as an individual, are accessing or utilising our Service for a business, group, employer, or any other entity (collectively referred to as "Organisation"), then the following conditions apply:

The agreement outlined in these Terms of Service binds both you and the Organisation to us.

You confirm and guarantee that you are authorised to commit the Organisation to these Terms. If you lack such authority, you are not permitted to access or use our Service.

By agreeing to these Terms, you are also agreeing on behalf of the Organisation.

Should your affiliation with the Organisation end, or if you no longer use an email address provided by, belonging to, or allocated by the Organisation, we reserve the right to suspend or terminate your personal access to our Service. In such cases, control and management of your account may be transferred.

We hold the right to share details about you and your use of the Service, including any content you provide ("Your Content"), with the Organisation and relevant individuals connected to the Organisation.

In these Terms, the references to "you" and "your" include both yourself and the Organisation you represent. In cases where you register for our Service using an email from an Organisation, or if the Organisation settles the fees for your Service usage (or reimburses you for such expenses), or in other related circumstances, we may, at our discretion, consider you to be using our Service on behalf of the Organisation. You assure us that any information you provide about the Organisation, including details about other users linked to the Organisation or email domains owned by the Organisation, is and will always remain true, complete, and up-to-date. You also agree to promptly inform us of any changes or inaccuracies in such information.

Account

To be able to use and operate Karo as a service, you must have a valid user account.

When you create an account you must supply valid user credentials (such as an email address) and create a strong and secure password which will be used to access the administration areas of Karo (referred to as “Dashboard”)

It is your responsibility to maintain the security of your password and should it be compromised to update that within your account.

We will use this account to send notifications about the service, including those required by law. If accepted, we may also use this email address to send marketing materials too. You can always opt out of receiving these within your account or emailing hello@synap-tix.com

Should you wish to close your account you can do so by emailing hello@synap-tix.com with the subject “Account Closure”. All closures with active subscriptions will be required to give the appropriate notice set out in their subscription terms.

Subscriptions & Payments

We offer various tiers of subscription which allow access to services, which may be classified as 'free' or 'paid'. We reserve the right to add, remove or alter the benefits of each tier, whilst providing you notice should you wish to move between tiers or cancel - subject to your notice period.

Subscriptions are for a defined period, usually 30 days or annual, depending on your chosen payment method and/or plan. Enterprise tier subscriptions are only available in annual payment terms.

Subscriptions are automatically renewed after the given period (either 30 days or annually) with your chosen payment method automatically charged, and subscriptions will continue indefinitely until either we withdraw your access to the service or you cancel your subscription. Notice to cancel includes a mandatory 30 day notice period, which must be given to hello@synap-tix.com

To enable payments, we use a third party provider, currently Stripe, which by purchasing a subscription and accepting our terms and conditions, you also agree to Stripe's terms (currently found at https://stripe.com/us/legal).

Should your automated payment fail, you remain entitled to settle any outstanding amount owed to us. We will endeavour to contact you within 2 working days, and arrange alternative settlement arrangements. You agree to cover any associated costs as a result of the failed transaction, or additional processing costs incurred.

Any late payments that remain unsettled after 30 days, will incur a 5% additional charge, and could result in service access being withdrawn.

Data Storage Policy

Any data that we store is held in secure, robust AE256 encrypted databases, which are hosted within the United Kingdom in ISO27001 rated servers.

By using Karo, you acknowledge our security and data provision laid out below, and acknowledge that Synaptix provides robust security protocols, services and encryption methods, but can not provide absolute guarantee to the security of your data.

Fair Usage Policy

Each tier of subscription is assessed initially against metrics such as website visits, order numbers or enquiries for custom solutions, which we may ask you to provide. We endeavour to pair you with the correct band at the point of launch, but we may choose to raise or lower your band, in consultation, based on actual aggregated usage.

We issue one user account associated with our chat and dashboard tooling to enable us to track usages against your account. Any attempt to manipulate usage could result in termination of your services.

Users agree to comply with this Fair Use Policy. We reserve the right to monitor usage to ensure compliance with these terms. In cases of non-compliance, we may take action including, but not limited to, issuing a warning, suspending service, or terminating the user's account.

We reserve the right to modify this Fair Use Policy at any time. Users will be notified of any significant changes to the policy, and continued use of the service following such changes will constitute acceptance of the new terms.

Integrations Policy

If you choose a level of subscription that includes integrations with third party systems, we will provide you access to an "integrations" area of your account dashboard. This is where you are responsible for adding details required per your system to enable a secure API connection.

Synaptix will store these details in a safe and secure manner (see Data Storage Policy) separately from other users, and your own Karo data.

We do not take responsibility for the data that is returned when using these integrations, as they are wholly managed and maintained within the integrated system. We do not alter, update or otherwise change this data when presenting it to your customers.

Changes or interruption to service

We reserve the right to change, modify, or remove features of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

We reserve the right to change usage limits over time, as a result of third party token costings, which could include a reduction in tokens allocated to your account. Alternatively you may be moved to a higher tier.

The Service might not always be available. Hardware, software, or maintenance issues can cause interruptions, delays, or failures in service. We will not be liable for issues arising from third party failures.

You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance of the Service.

Nothing in these Terms and Conditions will be construed to obligate us to maintain and support the Service or to supply any corrections, updates, or releases in connection therewith.

Termination of Service

We reserve the right to remove subscriptions tiers, at any point, with notice provided to those it affects. Those affected would be moved to the closest available subscription tier, and given the opportunity to cancel or change their subscription.

We reserve the right to terminate your access to the service should we prove that you are in violation of these terms. We may chose to do so immediately and without notice.

Restricted Use

You may not disassemble, reverse engineer, decode, or decompile any part of the Services.

You may not copy, rent, loan, lease, sell, transfer, assign, sublicense, resell, distribute, modify, alter, or create derivative works of our Intellectual Property whole or in part.

You may not use the Services in any manner or for any purpose (including, without limitation, by uploading, storing, or otherwise providing us with access to data or content) that: (i) violates or promotes the violation of any applicable law, regulation, legal requirement, contractual obligation, or right of any person; (ii) is fraudulent, false, deceptive, or defamatory, including phishing; (iii) promotes hatred, violence, or harm against any individual or group; or (iv) otherwise may be harmful, obscene, or objectionable to us, our providers, our suppliers, our users, or others.

You may not overload, flood, spam, or mail-bomb the Services; or otherwise use the Services, including by using the Services to send unsolicited communications, promotions, advertisements, or spam.

You may not use or display the Services in competition with us, to develop competing products or services, for benchmarking or competitive analysis of our organisation or the Services, or otherwise to Synaptix's detriment or disadvantage.

You may not attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Services.

You may not transmit viruses, worms, or other software agents through the Services.

You may not impersonate another person or misrepresent your affiliation with a person or entity, hide or attempt to hide your identity, or otherwise use the Services for any invasive or fraudulent purpose, including phishing.

You may not use or attempt to use a log-in credential other than your own, share passwords or authentication credentials for the Services, or otherwise circumvent our pricing, our fees, or the measures we may use to prevent or restrict access to the Services, to enforce limitations on use of the Services, or to sublicense and/or charge fees for each user of the Services.

You may not identify or refer to Synaptix Systems Ltd or the Services, all or individually, in a manner that could reasonably imply an endorsement, a relationship or affiliation between you or a third party and Objectively Ltd, other than your permitted use of the Services under our Terms, without our express written consent.

Privacy

We take the privacy of our users, and their users, extremely seriously. By using our Services you acknowledge that we may collect, use, and disclose your personal information and aggregate and/or anonymised data as set forth in our Privacy Policy, and acknowledge that you may have your personal information collected in, used in, transferred to, and processed in the UK and the European Union. If your use of the Service requires us to process any personal data or personal information within the content or data your provide to us, including through integrating your account with another product or service, as these terms are defined in and in accordance with applicable privacy laws or regulations, we will do so at all times in accordance with our Privacy Policy and the Terms outlined here.

Intellectual Property

Ownership of Service Materials

All intellectual property rights in and to the our service, including but not limited to software, underlying algorithms, AI models, design, content, documentation, and related materials (together, the "Service Materials") are and shall remain the exclusive property of Synaptix Systems Ltd or its licensors. These materials are protected by UK and international copyright, trademark, and other intellectual property laws.

User Content

You retain all rights in any data, text, images, or other content you upload or submit to the service ("User Content"). By using the service, you grant Synaptix Systems Ltd a non-exclusive, royalty-free, worldwide licence to use, process, store, and reproduce your User Content solely for the purpose of providing and maintaining the service and improving system performance.

Generated Output

Subject to your compliance with these Terms, you own any content generated by the AI service based on your inputs ("Output"). Synaptix does not claim ownership of Output. You are solely responsible for ensuring that your use of any Output complies with applicable laws and does not infringe any third-party rights, including intellectual property rights.

Restrictions

You may not copy, reproduce, modify, distribute, sell, sublicense, reverse engineer, decompile, or otherwise attempt to extract the source code of any part of the our service or Service Materials, unless permitted by applicable law or with our prior written consent.

Feedback

If you submit any suggestions, ideas, or feedback regarding the service ("Feedback"), you agree that Synaptix may use such Feedback without restriction and without obligation to you, and you assign all rights in such Feedback to Synaptix Ltd.

Changes to Terms and Conditions

We reserve the right to amend, update, or modify these Terms and Conditions at any time to reflect changes in our services, legal requirements, or business operations.

We will notify you of any material changes to these Terms by posting the updated version on our website and updating the "Last Updated" date at the top of the document. Where appropriate, we may also notify you via email or through the service.

By continuing to access or use the service after any changes come into effect, you agree to be bound by the updated Terms. If you do not agree to the amended Terms, you must stop using the service and cancel your subscription.

We encourage you to review these Terms periodically to stay informed about your rights and responsibilities under them.
